Licensing and Syndication Terms
Welcome to UnTelevised Media! We appreciate your interest in licensing and syndicating our content. These terms serve as the base agreement for content licensing. Each content transaction will also come with its own unique and more detailed terms.
1. License Grant
UnTelevised Media grants you a non-exclusive, non-transferable license to use, reproduce, distribute, and display the licensed content for the specified purpose outlined in the agreement. The scope of the license will be clearly defined, including any geographical or time limitations.
2. Restrictions on Use
a. You shall not sublicense, transfer, or assign the license to any third party without prior written consent from UnTelevised Media.
b. The licensed content shall not be used for any unlawful or unethical purposes, and it must comply with all applicable laws and regulations as well as UnTelevised Media's Ethical Polcies.
3. Attribution
You agree to provide proper attribution to UnTelevised Media for the licensed content as specified in the agreement. This may include but is not limited to, crediting UnTelevised Media as the source of the content.
4. Exclusivity
The exclusivity of the license, if applicable, will be clearly defined in the agreement. If exclusivity is granted, you agree not to license or syndicate the same content to any other party during the exclusivity period.
5. Fees and Payment
a. Any fees associated with the license will be outlined in the agreement, including payment terms and conditions.
b. Failure to make timely payments may result in the termination of the license.
6. Term and Termination
The duration of the license and any conditions for termination will be specified in the agreement. Either party may terminate the agreement in case of a material breach by the other party.
7. Ownership
a. UnTelevised Media retains ownership of the licensed content, and the license does not transfer any intellectual property rights.
b. You agree not to claim ownership of the licensed content or use it in a way that implies such ownership.
8. Indemnification
You agree to indemnify and hold UnTelevised Media harmless from any claims, losses, or damages arising out of your use of the licensed content.
9. Governing Law
This agreement is governed by and construed in accordance with the laws of Colorado, and any disputes shall be resolved in the courts of Denver County.
10. Changes to Terms
By entering into this Licensing and Syndication agreement, you acknowledge and accept these terms. UnTelevised Media reserves the right to update these terms at any time, and it is your responsibility to review them periodically.
